Terms of use

Last updated: November 5, 2026

These terms explain how you may use this website and set out the general terms on which we provide our services to clients in Ukraine and abroad. Please read them before you use the website or send us a request.

1. Who we are

This website and the services described on it are provided by:

Individual Entrepreneur Oleksandr Bunin
148 Borshchahivska St., Kyiv 03056, Ukraine
Entry in the Unified State Register of Ukraine No. 2000730000000058280 of November 25, 2020
E-mail: info@restreto-labs.com

In these terms, “we”, “us” and “the Contractor” mean this individual entrepreneur; “you” and “the Client” mean the person or company that uses the website or orders services from us. The name shown on this website is the name under which we present our work. It is not a separate legal entity: every proposal, invoice and contract is made with the individual entrepreneur named above.

2. Scope and order of precedence

2.1. These terms apply to your use of this website and to every proposal, invoice and contract for our services, unless that document provides otherwise.

2.2. If a signed contract, its annexes (such as a technical specification or a commercial proposal) or an invoice differ from these terms, the contract prevails, then its annexes, then the invoice, then these terms.

2.3. Nothing in these terms limits rights you have under law that cannot be limited by agreement.

3. Using the website

3.1. The website presents our services and our past work. Its content is general information and not an offer to enter into a contract. Figures, timelines and results of past projects (such as growth in sales or traffic) describe those projects and are not a promise of the same result for yours.

3.2. You may browse the website and share links to it. You may not copy its content for commercial use, attempt to disrupt or overload it, probe its security, collect its content by automated means beyond ordinary search engine indexing, or use it to send unsolicited messages.

3.3. The texts, design, graphics and code of the website belong to us or are used under licence. The names, logos and screenshots of clients and partners belong to their owners and are shown to illustrate work done for them.

3.4. Links to other websites are provided for convenience; we are not responsible for their content or practices.

3.5. When you send a request through the contact form or by e-mail, we use your details to answer it and to prepare a proposal. How we handle personal data is described in our Privacy policy.

4. How an engagement starts

4.1. You describe your project; we may ask questions and then send you a commercial proposal with the scope, budget, payment schedule and an indicative timeline. A proposal is valid for 30 calendar days from its date unless it states otherwise.

4.2. An engagement is formed by a contract signed by both parties, together with its annexes, such as the technical specification and the commercial proposal. Where the parties do not sign a separate contract, an invoice issued on the basis of an accepted proposal forms the agreement together with these terms, and paying the invoice is its acceptance.

4.3. Contracts, annexes, invoices and other documents may be signed with electronic signatures (for example through DocuSign) and exchanged by e-mail. Such documents have the same force as signed paper originals.

5. Our services

5.1. We provide software development, design, IT consulting, digital marketing and advertising services. Services are provided remotely, using electronic communication tools. The exact services, deliverables and technical parameters are those set out in the contract and its annexes.

5.2. Work is usually divided into stages (milestones), each a logically complete part of the product. A milestone is priced either at a fixed price or on a time basis at the hourly rate stated in the proposal.

5.3. Requests that go beyond the agreed scope (change requests) are additional services. We estimate them separately, and they are agreed by a separate invoice or an annex to the contract.

5.4. We may involve subcontractors and remain responsible to you for the result of their work.

5.5. We provide the services with professional care, using the qualifications, knowledge and resources the work requires, and in line with current industry standards.

6. Your part

6.1. You provide, in good time, the information, content (texts, images, translations), access to accounts and third-party services, and the decisions the work needs, and you name one person to communicate with us and approve intermediate results.

6.2. Hosting, domains and subscriptions to third-party services (such as payment, accounting, delivery or e-mail providers) are not included in our price unless the proposal says so. You order and pay for them directly, under those providers’ terms.

6.3. You are responsible for the content you publish and for the legal compliance of your product and business in the countries where you operate, including your own privacy policy, terms of sale and return terms. Drafting legal texts is not part of our services unless agreed separately.

6.4. Timelines depend on your timely input and on third parties, such as the verification of your accounts by payment or delivery providers. Delays on your side or theirs move our dates accordingly.

7. Delivery and acceptance

7.1. When a milestone is complete, we give you access to its results (for example, the source code or a test server) and issue the invoice for it.

7.2. You have 10 calendar days from the date of that invoice (the review period) to review the results and test them against the agreed specification, unless the parties agree on another period.

7.3. Within the review period, you either accept the results or send us a written list of reasoned comments that describes where they do not meet the specification. We fix confirmed defects at our own cost within the agreed time, and the acceptance procedure is repeated.

7.4. Payment of a milestone invoice confirms that the milestone is accepted in full, of proper quality and without claims.

7.5. If within 30 calendar days of the invoice you have neither sent written comments nor paid, the milestone is deemed accepted.

8. Prices, invoices and payment

8.1. Prices are stated in the proposal or the invoice, in the currency stated there (usually euro).

8.2. We may ask for a prepayment before work starts. The remaining milestones are invoiced as they are completed, according to the payment schedule.

8.3. Invoices are payable within 5 banking days of receipt, by bank transfer to the account stated in the invoice. The date of payment is the day the funds are credited to our account.

8.4. The fees of your bank and of correspondent banks are paid by you; the fees of our bank are paid by us.

8.5. We are an individual entrepreneur on the simplified taxation system (single tax, group 3) and not a VAT payer, so our invoices do not include VAT. For clients registered outside Ukraine, under Article 186.3 of the Tax Code of Ukraine the place of supply of IT services is the client’s place of registration, and no Ukrainian VAT is charged. Taxes and duties that arise in your country are governed by its law and borne by you.

8.6. If an invoice is not paid on time, we may suspend work on the following milestones until the debt is settled; our deadlines move by the length of the delay.

9. Intellectual property

9.1. The exclusive property rights to the results we create for you under a contract (including source code, interface design, graphics, database structure and documentation) pass to you once you have paid in full for the milestone or the scope concerned.

9.2. Until then, you may use the results only to review and test them (for example, on a test server), and not commercially; you may not copy them or pass them to third parties.

9.3. Parts of a product may be standard solutions or open-source software, such as libraries under the MIT or Apache 2.0 licences. They are not transferred to you as exclusive property: open-source components are used under their own licences, and we grant you a perpetual non-exclusive licence to our standard components as part of the final product.

9.4. We keep the right to reuse general techniques, methods and code fragments of a universal nature in other projects, provided this does not disclose your confidential information or business logic.

9.5. We may mention our work on your product, including a link in its footer and screenshots in our portfolio, unless we agree otherwise in writing.

9.6. We warrant that the results we create do not infringe the intellectual property rights of third parties. Third-party platforms and libraries are governed by their own licences.

10. Confidentiality

10.1. Each party keeps confidential the information it receives from the other in connection with the work, including source code, algorithms, database logic, access passwords, financial terms, marketing strategies and customers’ personal data, and uses it only for the work.

10.2. This does not apply to information that is public at the time of disclosure, that must be disclosed by law or at the request of public authorities, or that is disclosed to professional advisers (such as lawyers or accountants) bound by similar confidentiality.

10.3. We keep access credentials to your accounts and third-party services strictly confidential and use them only for the work.

10.4. These obligations continue for 3 years after the contract ends or is fully performed.

11. Warranties and limitation of liability

11.1. We take care to keep the website available and accurate, but provide it as it is, without a warranty that it will always be available or free of errors.

11.2. The results of marketing and growth work depend on your market, product, budget and decisions, and on third-party platforms. We commit to the agreed work and its quality, not to a particular level of sales, traffic, return on ad spend or other business results.

11.3. Our total liability for all claims connected with a contract is limited to the amount you have actually paid us for the milestone that gave rise to the claim.

11.4. We are not liable for indirect damages, lost profits, loss of data or interruption of your business, even if we were told such damages were possible.

11.5. We are not liable for failures caused by third-party services or by changes in their APIs, or by the actions of you or of third parties to whom you gave access.

11.6. Payment of penalties does not release a party from performing its obligations.

12. Force majeure

12.1. Neither party is liable for failing to perform its obligations if the failure is caused by extraordinary events that arose after the contract was made and that it could neither foresee nor prevent by reasonable measures, such as military action, armed conflict, mass unrest, terrorist acts, epidemics, natural disasters and acts of public authorities.

12.2. Given the nature of the services, force majeure also includes a loss of power supply or internet access in the Contractor’s region lasting more than 24 hours, and large-scale cyberattacks on the Contractor’s infrastructure or on critical third-party services.

12.3. The affected party notifies the other in writing within 5 working days of the start and of the end of such events. A certificate of the chamber of commerce and industry of the relevant country or an official statement of public authorities is proof of them; for the events in clause 12.2, public notices of energy or service providers are enough.

12.4. If force majeure lasts more than 60 consecutive calendar days, either party may terminate the contract after settling for the services actually provided.

13. Term and termination

13.1. A contract is valid for the period stated in it.

13.2. You may terminate a contract by written notice given at least 30 calendar days in advance, provided you pay in full for the services provided up to the termination date.

13.3. We may terminate a contract if a payment is more than 15 banking days late, or if you do not provide the access or information without which the work cannot continue.

13.4. If a contract ends before a milestone is paid, the rights to its unpaid results remain with us.

13.5. Termination does not release you from paying for the services accepted, nor either party from its confidentiality obligations.

14. Communication

14.1. We communicate by e-mail and in project tools. E-mails and records in project management systems and code repositories (such as Jira or GitHub) are written evidence between the parties.

14.2. Notices are sent to the e-mail addresses stated in the contract or invoice. Ours is info@restreto-labs.com.

14.3. We work in English and Ukrainian.

15. Governing law and disputes

15.1. These terms and every contract they apply to are governed by the substantive law of Ukraine.

15.2. The parties first try to settle any dispute by negotiation. This pre-trial procedure is mandatory: a party that considers its rights violated sends the other party a written claim by e-mail, and the other party answers it within 15 calendar days of receipt.

15.3. A dispute not settled within 30 days of the claim is finally resolved by the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry (Kyiv) in accordance with its Rules, by a sole arbitrator. The language of the arbitration is English.

15.4. If a signed contract provides another dispute resolution procedure, that procedure applies.

16. Changes and language versions

16.1. We may update these terms; the date at the top shows the current version. Changes do not affect contracts already signed, unless the parties agree otherwise.

16.2. These terms are published in Ukrainian and English. If the two versions differ, the Ukrainian version prevails.
